Terms of Service / End User Licence Agreement (EULA)

Definitions

All definitions are apply regardless of case, punctuation, or plurality, for example "Domain", "domain", "Domains", and "domains" shall all be taken to refer to the same thing.

"Property Marvel Limited" is a company registered in England & Wales. Company number: 11935130. Our registered office is Ty Antur, Navigation Park, Abercynon, RCT, CF45 4SN. References to “we” / “us” / “our” in these Terms are to Property Marvel Limited.

"services", "website", "the services", "the website", "system", "programme", "platform" or "software" shall be taken to mean the services and websites located at suite.legalcm.co.uk, rot.legalcm.co.uk or legallyquoting.legalcm.co.uk or any other sub-domain of legalcm.co.uk.

"Legally Quoting" or "LegallyQuoting" shall refer to the legal quotes service accessed at legallyquoting.legalcm.co.uk.

"You" or "Introducer"" shall refer to the person consenting to this agreement.

"Your firm", "The firm" or "firm" shall refer to the company you are introducing business to.

"Terms", "Terms of Service", "End User Licence Agreement" or EULA shall refer to the whole of this agreement.

"Users" shall refer to persons accessing the services.

"PDF" shall refer to the Portable Document Format (PDF), standardized as ISO 32000, the file format developed by Adobe Systems in 1992.

"Output" shall refer to any material/s produced by the services, in any format, which you can download, share digitally or print. These shall include, not to the exclusion of any other formats, and by way of example, reports, quotations, Excel spreadsheets, Word documents, PDF files, CSV (comma separated value) files, materials visible on the screen or any other material/s produced by the system and shared with any 3rd party or parties.

"Quote" shall be taken to mean "quotation".

Terms

The services are owned and operated by Property Marvel Limited. "LegallyQuoting" is a trading style of Property Marvel Limited.

These Terms of Service include and should be read in conjunction with the Privacy Policy and Cookies Policy

These Terms of Service govern your use of the services.

By accessing the services, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing the services or using any other services provided by Property Marvel Limited.

We, Property Marvel Limited, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

Access

Your access to our platform is solely at the discretion of Property Marvel Limited and / or your solicitor. Your solicitor may, and without any prior notice terminate your access to our platform. We also reserve the right to terminate your access to our platform without any reason or prior notice. We may revoke your access without your solicitor's consent or providing them with any prior notice. 

Limitations of Use

By using these services, you warrant on behalf of yourself, and other parties you represent that you will not:

1. modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
2. remove any copyright or other proprietary notations from any materials and software on this website;
3. transfer the materials to another person or “mirror” the materials on any other server;
4. knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service Property Marvel Limited provides;
5. use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
6. use this website or its associated services in violation of any applicable laws or regulations;
7. use this website in conjunction with sending unauthorised advertising or spam;
8. harvest, collect or gather user data without the user’s consent; or
9. use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to Property Marvel Limited and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service and may be terminated by Property Marvel Limited at any time.

Content

Property Marvel Limited provide content libraries as part of the services. This content is provided subject to the following conditions:

1. You accept ultimate responsibility for any content contained within any output you generate using the services. Property Marvel Limited accepts no liability with respect to the content of your outputs. It is your responsibility to check each output carefully and make any corrections.
2. You will notify Property Marvel Limited at support@propertymarvel.co.uk of any mistakes, omissions or any other such error observed in content provided by Property Marvel Limited. Any such notification shall have no effect on clause 1, immediately prior to this clause.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to us for publication in our service. We will never claim ownership of your content, but we do require a license from you in order to use it.

When you use our service or its associated services to post, upload, share or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

The license you grant us can be terminated at any time by deleting your content. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.

Retention of Data

If you breach these Terms of Service, or your firm breaks the Agreement with Property Marvel Limited then Property Marvel Limited reserves the right to:

1. Delete your data at any time, and without prior notice.
2. Deny you access to this website at any time, and without prior notice.

All quotation and instruction data will be expunged after a period of 2 years. it is your responsibility to ensure you download and retain copies of your data whether quotations, instructions, performance reports or any other information you want to retain.

Scope

This agreement is wholly separate to any agreement you may have with any solicitor using this platform. This agreement governs the use of and access to our services. Property Marvel provides a platform that enables you to obtain quotes from a solicitor and to share them with your clients with the purpose of introducing business to that solicitor. Those quotes can then be instructed. Property Marvel is in no way responsible for the contents of the quotes; the content is under full control of the solicitor. Neither are we responsible for the content of the quotation request form or instruction forms, these are fully under the control of the solicitor. It is your responsibility to check quotes carefully before sharing them with anyone else. Any errors in quotations should be queried with the solicitor.

Support

Property Marvel Limited does not offer any technical support or support of any other kind to Introducers. You must contact your solicitor if you require any help using this platform. You agree not to call us or email us unless you are expressly invited to do so. You may contact us at support@propertymarvel.co.uk only to report an error in content NOT relating to a quotation, or to report a bug.

Liability

Our services and the materials contained in our services are provided on an 'as is' basis. To the extent permitted by law, Property Marvel Limited makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Property Marvel Limited or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use the services or the materials in the services, even if Property Marvel Limited or an authorised representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Our total aggregate liability to you in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of the Contract shall be limited to the total Fees paid by you during the six (6) months immediately preceding the date on which the claim arose.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

We are in no way liable for any monies owed, or potentially owed to you by solicitors in respect of any business you introduce to them via this platform. You will not contact us or ask us to arbitrate in any dispute between yourself and your solicitors with regards to any financial matter, or any other matter.

We shall not produce evidence for either party in the event of a dispute arising between you and your solicitor(s) unless we are required to do so by a court of law with the appropriate jurisdiction.

Your relationship with your solicitor(s) is strictly between you and them, and in no way involves Property Marvel Limited. We are in no way liable for any aspect of your relationship with your solicitor. We accept no liability with respect to your relationship with your solicitor, neither shall we be involved in it beyond the scope of the facilities offered by this platform.

Accuracy of Materials

The materials appearing in our services are not comprehensive and are for general information purposes only. Property Marvel Limited does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials in these services, or otherwise relating to such materials or on any resources linked to these services.

Links

Property Marvel Limited has not reviewed all of the sites linked to its services and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Property Marvel Limited of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use our services and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
